Affiliate Program Agreement
Effective date: 6 June 2026
This agreement governs your participation in the Growpins AI Affiliate Program. By applying to or participating in the program, you agree to these terms. Please read them carefully before promoting Growpins.
1. Parties & Term
- Parties: Growpins AI ("Company") and the approved affiliate ("Partner").
- Term: This agreement begins on the date your application is approved and continues unless terminated by either party in accordance with Section 9.
- Approval: Participation in the affiliate program is subject to Company approval. We reserve the right to decline or revoke applications at our discretion.
2. Scope of Promotion
- Partner may promote Growpins via blog posts, videos, social media, podcasts, newsletters, and email - using only Company-approved affiliate links and creative assets.
- Partner must not modify Company creative assets, use the Growpins brand name in a misleading way, or imply any official relationship beyond that of an independent affiliate.
- Partner must not bid on the brand keyword "Growpins" in paid search advertising without prior written approval from the Company.
3. Disclosure Requirements
Partner must comply with applicable advertising disclosure regulations in their jurisdiction, including:
- UK: ASA/CAP guidelines - affiliate relationships must be clearly disclosed (e.g. "#ad", "Affiliate link", "This is a paid partnership").
- US: FTC Endorsement Guides - material connections to Growpins must be clearly and conspicuously disclosed in every piece of promotional content.
- EU / Other: Partner is responsible for understanding and complying with local advertising laws in any country where they promote Growpins.
Failure to disclose affiliate relationships is a material breach of this agreement and may result in immediate termination and forfeiture of unpaid commissions.
4. Prohibited Promotional Methods
Partner must not promote Growpins through:
- Spam, unsolicited bulk email, or any form of automated mass messaging
- Misleading claims, false promises, or fabricated testimonials about Growpins
- Cookie stuffing, link hijacking, or any other fraudulent tracking manipulation
- Content that is illegal, offensive, defamatory, or that targets protected characteristics
- Self-referral - using your own affiliate link to sign up or purchase on your own accounts
5. Commission & Payment Terms

| Valid Referral | A new Growpins account that converts to a paid subscription via your tracked link, within the cookie window |
- Commissions are reversed if the referred subscription is cancelled within the refund window or if payment fraud is detected.
- Company reserves the right to adjust commission rates with 30 days' notice. Changes do not affect commissions already earned.
- Partner is responsible for any taxes on commissions received. Company will not withhold taxes on behalf of Partners, except where required by law.
6. Tracking & Reporting
- Partner earnings and referral data are accessible via the affiliate dashboard. Company will use reasonable efforts to ensure tracking accuracy but does not guarantee that all referrals will be captured (e.g. if a user clears cookies before converting).
- Company's tracking data is the authoritative record for commission calculations. In the event of a discrepancy, contact affiliates@growpins.ai within 60 days of the relevant payment period.
7. Confidentiality
- Partner must not share Company confidential information, including non-public pricing, commission structures, marketing plans, or affiliate link configurations.
- Partner must return or destroy confidential materials upon request or on termination of this agreement.
8. Liability & Indemnification
- Partner will defend and indemnify Company against third-party claims arising from Partner's promotional content, disclosures, or violations of this agreement.
- Company will not be liable for indirect, incidental, or consequential damages related to the affiliate program.
- Partner's total liability under this agreement will not exceed the total commissions paid to Partner in the prior 3 months.
9. Termination
- By Company: Company may terminate this agreement with 30 days' notice, or immediately if Partner violates any provision of this agreement.
- By Partner: Partner may terminate by sending written notice to affiliates@growpins.ai.
- Effect: Upon termination, Partner loses the right to earn future commissions. Approved commissions for confirmed sales made before the termination date will be paid at the next scheduled payment date, provided the payment threshold is met.
10. Governing Law
- This agreement is governed by the laws of England and Wales.
- Both parties submit to the non-exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.
11. Entire Agreement & Amendments
This agreement constitutes the entire agreement between the parties regarding the affiliate program and supersedes all prior discussions. Company may amend this agreement with 30 days' notice. Continued participation after that date constitutes acceptance of the revised terms.
