Terms and Conditions

1. Definitions

• "Platform" - The Growpins AI website, dashboard, and all associated tools at growpins.ai.
• "Seller" / "You" - Any individual or business that registers for a Growpins account to list and sell products.
• "Buyer" - Any person who purchases a product through a seller's Growpins storefront.
• "Subscription" - A paid plan that grants access to premium features of the platform.
• "Listing" - A product or service made available for sale on a seller's storefront.

2. The Platform

• Growpins AI provides an AI-powered storefront platform with built-in SEO optimisation, content generation, affiliate marketing features, and landing page tools.
• Growpins acts as a technology platform only. We do not fulfil orders, hold stock, process buyer payments, or act as a party to any transaction between a seller and buyer.
• We reserve the right to modify, suspend, or discontinue any platform feature with reasonable notice. We will not be liable for any such changes.

3. Subscription Plans & Free Trial

• Free Trial: New accounts may access a free trial without entering payment details. Free trial eligibility and duration are specified on the Pricing page and may change at any time.
• Paid Subscription: After the free trial, or if you upgrade at any time, you will be billed according to your chosen plan and billing cycle (monthly or annual).
• Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle. You will receive a reminder email before renewal. Cancel before the renewal date to avoid being charged for the next cycle.
• Upgrades / Downgrades: Plan upgrades take effect immediately and are charged on a pro-rata basis. Downgrades take effect at the start of the next billing cycle.
• Zero Transaction Fees: Growpins does not charge a percentage of your sales. All revenue from buyers goes directly to you.

4. Payment & Billing

• All subscription fees are listed on the Pricing page in GBP (£) or USD ($). Prices are exclusive of applicable taxes unless otherwise stated.
• Payments are processed by our third-party payment processor. We do not store full card details.
• If a payment fails, we will notify you and your account may be downgraded or suspended until payment is resolved.
• We reserve the right to adjust prices with 30 days' advance notice. You may cancel before the price change takes effect.

5. Refund Policy

• 14-Day Cooling-Off (Consumers): If you are a consumer (not purchasing as a business) based in the UK or EU, you may request a full refund within 14 days of your first payment under statutory cooling-off rights, provided you have not made significant use of the paid features.
• Business Accounts: Subscription fees are non-refundable unless we have materially failed to deliver the service as described.
• Cancellations: Cancelling a subscription stops future charges but does not generate a refund for the current billing period already paid.
• To request a refund, email info@growpins.ai with your account email and reason for the request.

6. Service Availability

• We aim to maintain high platform availability but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible.
• We are not liable for losses arising from downtime caused by events beyond our reasonable control, including third-party service failures (e.g. hosting infrastructure, Google APIs).

7. Seller Obligations

• Legal Compliance: You are solely responsible for ensuring your products, listings, and business practices comply with all applicable laws in your jurisdiction and your buyers' jurisdictions - including consumer protection, product safety, and advertising regulations.
• Accurate Listings: Product descriptions, images, and pricing must accurately represent what you are selling. Misleading listings may result in account suspension.
• Fulfilment: You are responsible for fulfilling orders, handling returns, and resolving disputes directly with buyers. Growpins has no involvement in buyer-seller transactions.
• Taxes: You are responsible for collecting and remitting all applicable taxes (e.g. VAT, sales tax) on your sales. Growpins does not calculate or collect taxes on your behalf.

8. Transactions Between Buyers & Sellers

Growpins is a technology platform, not a marketplace operator, escrow agent, or payment intermediary. Any transaction between a seller and a buyer is a direct contract between those two parties. Growpins is not responsible for product quality, delivery, disputes, returns, chargebacks, or any financial liability arising from a buyer-seller transaction.

9. Third-Party Integrations

The platform supports integrations with third-party services (e.g. Etsy, Shopify, WooCommerce for product imports; Google for SEO tools). These are provided as conveniences. Growpins is not responsible for the availability, accuracy, or performance of any third-party service. Issues with third-party platforms should be directed to those providers directly.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

• Growpins AI will not be liable for indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, data, or business opportunities.
• Our total aggregate liability to you for any claim under these Terms will not exceed the total fees you paid to Growpins in the 12 months immediately preceding the event giving rise to the claim.
• Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify, defend, and hold harmless Growpins AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the platform in breach of these Terms; (b) your product listings or any buyer-seller dispute; or (c) your violation of any applicable law or third-party rights.

12. Dispute Resolution

• Good Faith: We encourage you to contact us at info@growpins.ai before escalating any dispute. We will attempt to resolve issues informally within 30 days.
• Formal Disputes: If informal resolution fails, disputes will be referred to the courts under the governing law below.

13. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Both parties submit to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU, you retain the benefit of any mandatory consumer protection laws of your country of residence.

14. Entire Agreement

These Terms and Conditions, together with our Terms of Use and Privacy Policy, constitute the entire agreement between you and Growpins AI with respect to the platform. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
